1. Introduction

These Terms of Use (“Terms” or “TOU”) govern your access to and use of HashMove’s website, platform, and all associated services (collectively, the “Services”), including but not limited to software applications, APIs, tools, content, documentation, images, videos, and other materials made available by HashMove.

By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and any additional terms, policies, or guidelines that may be applicable to specific features, modules, or offerings (collectively, the “Agreement”). If you do not agree to these Terms, you must not access or use the Services.

HashMove reserves the right to update, modify, or replace these Terms at any time at its sole discretion. Any such changes will become effective upon posting on the Website or upon notification through the Services. Your continued use of the Services following such updates constitutes your acceptance of the revised Terms.

You are responsible for reviewing these Terms periodically to ensure ongoing compliance.

2. Acceptance of Terms

By accessing or using the Website or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use, as may be amended from time to time.

If you do not agree to these Terms, you must immediately discontinue use of the Website and Services.

HashMove Inc., including its affiliates and subsidiaries (collectively, “HashMove”), reserves the right to modify, update, or replace these Terms at its sole discretion. Where practicable, HashMove may provide notice of material changes; however, it is your responsibility to review the Terms periodically. The most current version will always be made available on the Website, and your continued use of the Services following any updates constitutes your acceptance of such revised Terms.

3. Intellectual Property Rights

All rights, title, and interest in and to the Website and Services, including but not limited to all content, software, source code, object code, interfaces, designs, text, graphics, images, videos, documentation, and other materials (collectively, “Content”), are owned by or licensed to HashMove and are protected by applicable intellectual property laws, including copyright, trademark, and other proprietary rights.

Subject to your compliance with these Terms, HashMove grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Website and Content solely for your internal business purposes.

Except as expressly permitted under these Terms, you shall not, directly or indirectly:

  • modify, copy, reproduce, republish, upload, post, transmit, or distribute any Content;
  • create derivative works based on the Website or Content;
  • reverse engineer, decompile, or attempt to extract source code from any part of the Services;
  • sell, license, lease, or otherwise exploit the Content for any commercial purpose without prior written consent from HashMove.

Any unauthorized use of the Website or Content may violate applicable laws and result in civil and/or criminal liability.

4. HashMove Software

Any software, applications, APIs, or related materials made available by HashMove through the Website or Services (collectively, the “Software”) are the proprietary and copyrighted works of HashMove and/or its licensors.

Your access to and use of the Software is governed exclusively by the terms of the applicable software license agreement, subscription agreement, or order form (the “License Agreement”) accompanying or referencing such Software. In the event of any conflict between these Terms and the License Agreement, the License Agreement shall prevail with respect to the Software.

Except as expressly permitted under the applicable License Agreement, you shall not:

  • copy, reproduce, distribute, republish, or transmit the Software;
  • modify, adapt, translate, or create derivative works of the Software;
  • reverse engineer, decompile, or attempt to extract the source code of the Software;
  • sublicense, lease, rent, sell, or otherwise commercially exploit the Software.

Any unauthorized use, reproduction, or distribution of the Software is strictly prohibited and may result in civil and/or criminal liability under applicable laws. HashMove reserves all rights to enforce its intellectual property rights, including seeking injunctive or equitable relief.

5. Free Tools and Services

HashMove may, from time to time, make certain tools, features, or services available at no cost, including but not limited to shipment tracking, vessel schedules, or other informational utilities (collectively, “Free Tools”).

Unless otherwise expressly stated, Free Tools:

  • are provided on an “as-is” and “as-available” basis;
  • are intended for general informational purposes only;
  • may be modified, suspended, or discontinued at any time without notice;
  • may be subject to additional terms set out in Schedule A or other applicable policies.

HashMove does not warrant the accuracy, completeness, or reliability of any data or outputs generated through Free Tools and disclaims all liability arising from their use.

6. User Content and License Grant

You may, from time to time, submit, upload, post, or otherwise transmit data, content, or materials through the Services, including but not limited to text, files, information, graphics, or other content (collectively, “User Content”).

You retain ownership of your User Content. However, by submitting or making available any User Content through the Services, you grant HashMove a limited, worldwide, non-exclusive, royalty-free license to host, use, process, reproduce, display, transmit, and modify such User Content solely for the purposes of:

  • operating, maintaining, and improving the Services;
  • providing the Services to you and authorized users;
  • complying with applicable legal or regulatory requirements.

HashMove will not use User Content for any purpose outside the scope of providing the Services without your consent, except as required by law.

You represent and warrant that:

  • you have all necessary rights, licenses, and permissions to submit the User Content;
  • the User Content does not infringe or violate any third-party rights, including intellectual property, confidentiality, or privacy rights;
  • the User Content complies with applicable laws and these Terms.

You agree that HashMove shall not be responsible or liable for any User Content, and you waive any claims against HashMove arising from the use of such User Content in accordance with these Terms.

7. Acceptable Use and Restrictions

You agree to use the Website and Services solely for lawful business purposes and in accordance with these Terms. You shall not, directly or indirectly:

  • interfere with or disrupt the integrity, performance, or security of the Website or Services, including through the use of any automated tools, bots, scraping techniques, or malicious code;
  • upload, post, transmit, or otherwise make available any content that is unlawful, fraudulent, abusive, defamatory, obscene, or otherwise objectionable;
  • introduce or distribute viruses, worms, malware, or any other harmful or disruptive code;
  • copy, reproduce, modify, distribute, create derivative works of, reverse engineer, decompile, or otherwise attempt to extract the source code of any part of the Services, except as expressly permitted;
  • infringe, misappropriate, or violate any intellectual property or proprietary rights of HashMove or any third party;
  • overload, impair, or damage the infrastructure, systems, or networks supporting the Services;
  • frame, mirror, or otherwise repackage any part of the Website or Services without prior written consent from HashMove;
  • attempt to gain unauthorized access to any systems, accounts, or data through hacking, credential harvesting, or any other means;
  • interfere with or disrupt another user’s access to or use of the Services;
  • access or obtain any information or materials through means not intentionally made available by HashMove.

HashMove reserves the right to investigate and take appropriate legal action against any violations of this Section including but not limited to:

  • Issuance of a warning
  • Suspension of access
  • Termination of access in case of repeated or severe violations

Such actions shall be proportionate to the nature and severity of the breach.

8. Monitoring and Enforcement Rights

HashMove reserves the right, but not the obligation, to monitor access to and use of the Website and Services for the purposes of:

  • ensuring compliance with these Terms;
  • maintaining the security, integrity, and availability of the Services;
  • complying with applicable laws, regulations, or lawful governmental requests.

HashMove may, at its sole discretion and without liability:

  • remove, restrict, or refuse any content or User Content;
  • suspend or terminate access to the Services;
  • disclose information where required to protect HashMove, its customers, users, or third parties, or to comply with legal obligations.

HashMove further reserves the right to modify, suspend, or discontinue any aspect of the Website or Services at any time without prior notice.

9. Compliance with Applicable Laws

You agree to comply with all applicable laws, rules, and regulations in connection with your access to and use of the Website and Services, including but not limited to laws relating to:

  • data protection and privacy;
  • intellectual property;
  • electronic communications; and
  • export control and trade compliance, where applicable.

You are solely responsible for ensuring that your use of the Services is lawful in all applicable jurisdictions

10. Account Registration and Security

Access to certain features of the Services may require registration and the creation of an account.

By registering for an account, you agree to:

  • provide accurate, current, and complete information;
  • maintain and promptly update your information as necessary;
  • ensure that your account credentials remain confidential and secure.

Each account is intended for use by a single authorized user or a designated number of users as defined under the applicable agreement. You shall not:

  • permit unauthorized users to access the Services using your credentials;
  • share login credentials across multiple individuals beyond permitted use;
  • create accounts on behalf of others without proper authorization.

You are solely responsible for all activities conducted under your account, whether authorized or not.

HashMove reserves the right to suspend, restrict, or terminate your account if:

  • any information provided is inaccurate, incomplete, or misleading; or
  • there is a violation of these Terms or any applicable agreement.

11. Access to Secure Areas

Where access to certain parts of the Website or Services requires authentication credentials (“Secure Areas”), you are responsible for maintaining the confidentiality and security of your login information.

You agree to:

  • safeguard your credentials and restrict access to authorized users only;
  • promptly notify HashMove of any unauthorized access, breach, or suspected compromise of your account.

You acknowledge that transmission of information over the internet is not completely secure. While HashMove implements reasonable administrative, technical, and organizational safeguards, it does not guarantee absolute security of data transmitted through the Services and disclaims liability for unauthorized access arising from factors outside its reasonable control.

12. Third-Party Links and Services

The Website or Services may contain links to third-party websites, services, or resources that are not owned or controlled by HashMove.

HashMove:

  • does not endorse or assume responsibility for any third-party content, products, or services;
  • makes no representations or warranties regarding the accuracy, reliability, or practices of such third parties.

Your access to and use of third-party websites or services is at your own risk and subject to the applicable third-party terms and policies.

13. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Website, Services, Software, Free Tools, and all related content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

HashMove expressly disclaims all warranties, including but not limited to:

  • merchantability, fitness for a particular purpose, and non-infringement;
  • uninterrupted or error-free operation of the Services;
  • accuracy, completeness, or reliability of any outputs or results;
  • compatibility with your systems or infrastructure.

HashMove does not warrant that defects will be corrected or that the Services will meet your specific requirements or expectations.

14. Limitation of Liability

To the fullest extent permitted by law, HashMove shall not be liable for any:

  • indirect, incidental, special, consequential, or punitive damages;
  • loss of profits, revenue, business opportunities, data, or goodwill;
  • business interruption or system failure;

arising out of or in connection with your use of, or inability to use, the Website or Services, even if HashMove has been advised of the possibility of such damages.

To the extent liability cannot be excluded, HashMove’s aggregate liability arising out of or in connection with these Terms shall be limited to the amount paid by you (if any) for access to the Services in the preceding twelve (12) months.

Your sole and exclusive remedy for dissatisfaction with the Services is to discontinue use.

15. Indemnification

You agree to defend, indemnify, and hold harmless HashMove, its affiliates, officers, directors, employees, and agents from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • your use or misuse of the Services;
  • your violation of these Terms or applicable laws;
  • your infringement of any third-party rights, including intellectual property or data privacy rights.

16. Governing Law and Jurisdiction

This Agreement, and any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be subject to the exclusive jurisdiction of the Courts of Riyadh, Kingdom of Saudi Arabia.

17. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

18. Data Protection and Processing

To the extent that HashMove processes personal data on behalf of the Customer:

  • HashMove shall act as a data processor
  • The Customer shall act as the data controller

HashMove shall:

  • Process personal data solely in accordance with documented instructions
  • Implement appropriate technical and organizational security measures
  • Comply with applicable data protection laws

Further details shall be governed by the Privacy Policy and applicable agreements.

19. Security Measures

HashMove shall implement and maintain administrative, technical, and organizational safeguards in accordance with its Information Security Policy.

Nothing in these Terms shall limit HashMove’s obligations under its Information Security Policy or applicable law.

20. Service Levels

Where the Customer is subject to a valid Subscription Agreement:

  • Service availability, uptime commitments, and support levels shall be governed exclusively by the applicable Service Level Agreement (SLA)
  • In the event of conflict, the SLA shall prevail over these Terms with respect to service performance

21. Suspension of Services

HashMove may suspend access to the Services where:

  • Required for security, legal, or operational reasons
  • The Customer is in material breach of these Terms

Where reasonably practicable:

  • HashMove shall provide prior notice
  • Suspension shall be limited to the affected Services
  • Services shall be restored promptly upon resolution

22. Export Control

You shall not access or use the Services:

  • In violation of any applicable export control or trade sanctions laws
  • In or for the benefit of any restricted or sanctioned jurisdiction, entity, or individual

Schedule A – Free Tools

Use of Free Tools

Free Tools may be accessed solely through the interfaces and methods provided by HashMove and must be used in accordance with these Terms and any additional applicable conditions.

Your Data

You retain all rights, title, and interest in any data, files, or content submitted through Free Tools (“Your Data”).

By using Free Tools, you grant HashMove a limited, non-exclusive, worldwide, royalty-free license to:

  • host, process, and use Your Data solely for the purpose of providing and operating the Free Tools.

You acknowledge and agree that:

  • Your Data may be processed or stored on infrastructure operated by third-party service providers, which may be located in different jurisdictions;
  • HashMove may delete Your Data in accordance with its data retention practices, including automatic deletion after processing or completion of the requested service;
  • transmission of data over the internet involves inherent risks, and HashMove shall not be liable for unauthorized access or data breaches beyond its reasonable control.
Modifications and Availability

HashMove reserves the right, at its sole discretion, to:

  • modify, enhance, suspend, or discontinue any Free Tools or features at any time;
  • introduce or revise usage limits, access requirements, or eligibility criteria;
  • require registration or authentication for continued access.

HashMove shall have no liability arising from the modification, suspension, or discontinuation of Free Tools.
